Terms of Service

1. Acceptance of Terms

Welcome to Focal VA. By accessing or using our CRM platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including virtual assistants, VA firms, and their clients.

2. Description of Service

Focal VA is a customer relationship management (CRM) platform designed specifically for virtual assistants and VA firms. The Service provides tools for:

• Client and contact management
• Project and task management
• Time tracking and reporting
• Contract management
• Financial goal tracking and analytics
• Invoice and payment tracking

3. User Accounts

3.1 Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3.3 Account Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years of age.

4. Free Trial and Subscriptions

4.1 Free Trial

Focal VA offers a 14-day free trial for new users. During the trial period, you will have access to all features of your selected plan. No credit card is required to start the trial.

4.2 Subscription Plans

After the trial period ends, you must select a paid subscription plan to continue using the Service. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.

4.3 Billing

By providing payment information, you authorize Focal VA to charge all subscription fees to your designated payment method. You are responsible for maintaining valid payment information, and we may suspend or terminate your account if payment fails.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation will be effective at the end of your current billing period. We do not provide refunds for partial subscription periods or unused features.

5. User Content and Data

5.1 Your Data

You retain all rights to the data, files, and content you upload or create using the Service ("User Content"). You grant Focal VA a limited license to use, store, and process your User Content solely for the purpose of providing the Service to you.

5.2 Data Responsibility

You are solely responsible for the accuracy, quality, and legality of your User Content and the means by which you acquired it. You represent and warrant that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

5.3 Data Backup

While we implement backup procedures, you are responsible for maintaining your own backups of User Content. Focal VA is not responsible for any loss or corruption of User Content.

6. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit any harmful, offensive, or illegal content
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to the Service or related systems
• Use automated systems (bots, scrapers) without permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove or modify any proprietary notices or labels
• Use the Service for any unlawful or fraudulent purpose

7. Intellectual Property Rights

7.1 Focal VA Property

The Service and its original content, features, and functionality are owned by Focal VA and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

Subject to these Terms, Focal VA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Focal VA a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

8. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.

9. Service Availability and Support

9.1 Availability

We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, updates, or due to factors beyond our control.

9.2 Technical Support

We provide technical support via email at support@focalva.com and phone at 1-862-FOCAL-VA during business hours. Support is provided on a best-effort basis.

9.3 Service Modifications

Focal VA reserves the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Focal VA does not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOCAL VA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL FOCAL VA'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO FOCAL VA IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Focal VA and its affiliates, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:

• Your use of and access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your User Content

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us at support@focalva.com or through your account settings.

13.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

13.3 Effect of Termination

Upon termination, you may request a copy of your User Content within 30 days. After this period, we may delete your User Content from our systems. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through good faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a prominent notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Focal VA regarding the Service and supersede all prior agreements and understandings.

16.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

16.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
